    YANKEE ROWE COMMUNITY ADVISORY BOARD CHARTER
    July 1998

    PURPOSE
    The Yankee Rowe Community Advisory Board (CAB) is established as a non-regulatory body to promote open communication, public involvement and education on remaining decommissioning and fuel storage activities at the Yankee Nuclear Power Station.

    The CAB is intended to be broadly representative of the citizenry of the Rowe, Massachusetts area to ensure a vehicle for hearing and addressing local public concerns about remaining site decommissioning issues.

    CAB meetings provide an opportunity to keep the public informed about the status of Yankee Rowe's decommissioning and for the public and Yankee Atomic Electric Company to communicate on a regular basis.

    The CAB will function solely as an advisory board. Yankee Atomic is not obligated to accept, adopt, follow or conform to the advice or recommendations made by the CAB, but will provide a written explanation in the case of a disagreement. The CAB will only address issues related to decommissioning and fuel storage activities at the Yankee Nuclear Power Station.

    MEMBERSHIP
    CAB membership will represent the diverse interests of the local community defined by its proximity to the Yankee Rowe plant. Invitations to participate on the CAB will be extended to select organizations representing local, county, business, environmental and health concerns.

    (A) The Chairperson and Vice Chairperson will be appointed by Yankee Atomic. The inaugural Chairperson will be a resident of Franklin County. The inaugural Vice Chairperson will be a resident of northern Berkshire County.

    (B) The CAB will consist of a maximum of 18 volunteer members. Invitations to participate on the CAB will be extended by Yankee Atomic to the following select boards, government and business organizations, and individuals:

    Radiological Professional from Franklin or Berkshire county with a medical or academic background (1)

    (C) Each CAB member will serve a renewable two-year term, unless such term is terminated in accordance with this charter.

    (D) Initial CAB member activities will include a tour of the Yankee Rowe plant and an overview of radiation/health physics and the nuclear regulatory process.

    (E) Each appointing authority as identified in Section (B), except for the Chairperson and Vice Chairperson, may select one alternate to the primary member. Only one representative per town or organization may participate in each CAB meeting. Membership termination for individuals will automatically occur in the event that three (3) consecutive CAB meetings have been missed.

    (F) Individual membership may be resigned in writing sent to the CAB Chairperson. Membership of the entities presented in Section B of this charter may be terminated in writing to the CAB Chairperson. The Chairperson shall immediately forward a copy of such resignation to the Yankee Rowe Decommissioning Manager.

    (G) All vacancies must be filled consistent with the criteria for membership stated in Section B of this charter.

    OFFICERS
    The CAB shall have a Chairperson, Vice Chairperson and Secretary. The inaugural Chairperson and Vice Chairperson will be appointed by Yankee Atomic. Subsequent officers will be elected by a majority vote of the CAB. The Chair and Vice Chair will serve a two-year term and be eligible for re-election according to the membership terms set forth in the CABs charter. The Secretary of the CAB will be appointed by the Chairperson. The role of the Chairperson is to conduct the meetings ensuring the smooth flow of information to the CAB and the public. The Vice Chair will conduct meetings in absence of the Chair. The Secretary will maintain meeting minutes and attendance records.

    CHAIR DUTIES: The Chairperson's duties include, but are not limited to: calling meetings of the CAB; preparing and/or approving agenda for meetings; presiding at CAB meetings; appointing the CAB Secretary and providing for the keeping of meeting minutes in the Secretary's absence; certifying the accuracy of meeting minutes after approval by CAB membership; submitting to the Yankee Rowe Decommissioning Manager all recommendations adopted by the CAB; forwarding member resignation letters to the Yankee Rowe Decommissioning Manager and the selecting body; and working with Yankee Rowe administrative support to ensure the smooth flow of information to the CAB and public.

    COMMITTEES
    Committees, sub-committees, or similar working groups needed to carry out the work of the CAB can be established through a majority vote of the CAB. The Chairperson will appoint members to the committees established by the CAB.

    MEETINGS
    The CAB will meet on an as needed basis, but not more than twelve (12) times a year and not less than two (2) times a year. All meetings will be open to the public and the CAB will provide time for public comment at every meeting. CAB meetings will be announced a minimum of one week in advance in a Berkshire and Franklin county newspaper agreed upon by the CAB.

    The CAB will identify and agree on, by a majority vote, a meeting start time and location convenient to Franklin County, Berkshire County and Vermont CAB members. Yankee Atomic agrees to make the Yankee Administration Office, located at the Yankee Rowe site, available for meetings, if the CAB desires.

    RULES
    Roberts Rules of Order will govern the conduct of every CAB meeting.

    QUORUM/MAJORITY VOTE
    One-half, plus one, of the CAB membership as defined by this charter will constitute a quorum for a meeting of the CAB at which a vote or other official action is to be taken. No official action may be undertaken by the CAB at a meeting which lacks a quorum.

    A "majority vote" means a simple majority of those members present and voting, provided that a quorum is present. A "two-thirds majority vote" means two-thirds of those members present and voting, provided that a quorum is present.

    REIMBURSEMENT
    Members of the CAB will not be reimbursed for travel or other expenses incurred by them in the performance of their duties as members. However, funding for additional CAB activites may be provided by Yankee Atomic. Yankee Atomic will provide refreshments at every meeting.

    ADDITIONAL FUNDING AND PAYMENT
    The CAB may request funding for additional activities such as independent consultation or presentations by experts. Formal funding requests, determined by a two-thirds majority vote of the CAB, must be submitted by the CAB Chair to the Yankee Rowe Decommissioning Manager for consideration. All invoices for approved additional CAB activities will be submitted to Yankee Atomic and paid for directly by Yankee Atomic. If funding is for independent reviews/consultation, all summaries, reports and studies will be submitted concurrently to the CAB and to the Yankee Rowe Decommissioning Manager.

    MINUTES
    Minutes shall be kept of all CAB meetings which shall include attendance records, a complete and accurate description of matters discussed and conclusions reached, and copies of all reports received, issued or approved by the CAB. Copies of CAB meeting minutes will be mailed to each CAB member. Copies of CAB meeting minutes will also be available at the Yankee Nuclear Power Station Administration Office, the Rowe Town Hall and the Yankee Atomic web site (www.yankee.com), as long as the web site continues to be maintained.

    CAB TERM
    The CAB shall exist and operate for an initial term of two years. Termination prior to the initial term and continuation beyond the initial term can be made at the discretion of Yankee Atomic Electric Company. Termination of the CAB by CAB members before the initial term expires requires a two-thirds majority vote of the CAB.

    CHARTER REVISION
    Only Yankee Atomic can modify this charter. Recommendations to amend the charter require a two-thirds majority vote of the CAB. Recommendations to amend the charter must be submitted by the CAB Chair to the Yankee Rowe Decommissioning Manager for consideration.

    YANKEE ATOMIC ROLE
    Yankee Atomic Electric Company will provide the CAB with periodic reports about decommissioning and respond promptly to CAB questions and recommendations. Yankee will provide administrative support to the CAB, including, but not limited to, typing, copying, compiling and mailing CAB documents, assisting with meeting arrangements, maintaining CAB records, and ensuring their availability to the public.
